NextEnergy Renewables Limited (NREN), a new closed-ended investment company, has released a prospectus in relation to an initial public offering ("IPO") of ordinary shares.

NREN aims to provide investors with regular income and capital appreciation through a diversified portfolio of private renewable and energy transition funds focused on OECD and co-investments in renewable energy assets.

The Company is seeking to raise up to £300 million via an initial placing, offer for subscription and intermediaries offer. Interactive Investor Services Limited has been appointed as an intermediary in connection with the intermediaries offer.

Offer period

  • The Offer Period for the NextEnergy Renewables Limited share offer opened on Friday 12 February 2021, following publication of the Prospectus.
  • This Offer was expected to be open for applications until 9am on Thursday 4 March 2021
  • On Thursday 4 March 2021 the Company issued an update on the IPO. A revised timetable is still to be confirmed
  • In light of this we are refunding application amounts and the offer will remain closed for applications through ii until an updated timetable is published.

Offer price and allocation policy

  • The Issue Price has been set at 100 pence per Ordinary Share.
  • The results of the Offer, including the allocation policy were expected to be announced on Friday 5 March 2021.
  • Allocation of shares will be at the absolute discretion of the Company. We will be required to apply the allocation policy to each customer who subscribes for shares. This may include a scale-back, which could result in you receiving less shares or no shares at all.
  • Following the announcement of the allocation policy we will complete the settlement, allocate the shares (if your application was successful) and (in the case of scale-back) refund any cash to your account.

Trading starts

  • Admission and unconditional dealing in the Ordinary Shares was expected to commence at 8am on Wednesday 10 March 2021. There is no conditional dealing period.
  • When admitted to trading, the Ordinary Shares will be registered with SEDOL (Stock Exchange Daily Official List) number BMT6488 and trade under the symbol "NREN".
  • If you buy or sell NextEnergy Renewables Limited Ordinary Shares after admission the relevant share dealing rate will apply.

  • The intermediaries offer is only open to individuals physically located in the United Kingdom.

  • The minimum investment value for NextEnergy Renewables Limited Ordinary Shares is £1,000 and in multiples of £1 thereafter. There is no maximum.
  • The stock is eligible to be invested in an ISA, SIPP, Trading Account and Junior ISA. Subscriptions cannot be made from Certificated accounts.
  • If you are investing from within your ISA, you may only invest up to your ISA cleared funds or available subscription limit. The ISA allowance for the 2020/21 tax year is £20,000. Please note that tax laws may change.
  • You will not pay a purchase commission or stamp duty on this subscription. We will be paid a fee by the Company to cover our costs of advertising this offer. This fee will not exceed 0.5% of the value of shares allocated to customers and the fee will not affect the number of shares you receive. Further details are available upon request.
  • If you cancel the subscription within an ISA, the funds are classed as an ISA subscription and may affect your subscription levels for the current tax year if you decide to withdraw them.
